referred to below as ‘FERRARI TICKETS & TRAVEL’

Article 1 Definitions
1. In these General Terms and Conditions the listed below have the following meaning unless otherwise explicitly indicated:
Customer: a person who gives an assignment to FERRARI TICKETS & TRAVEL for the provision of services to be provided by FERRARI TICKETS & TRAVEL;
Consumer: another contractual party who is a natural person who is not acting within the context of practising a profession or conducting a business;
Agreement: the Agreement between FERRARI TICKETS & TRAVEL and the Customer;
Consumer Purchase: an Agreement with respect to the purchase of an admission ticket(s) for FIA Formula 1 World Championship tournaments, which is concluded by a seller acting within the context of practising a profession or conducting a business and a consumer, natural person or a consumer acting in the name of a company.

Article 2 General
1. These Terms and Conditions govern every quotation, offer and Agreement between FERRARI TICKETS & TRAVEL and a Customer in respect of which FERRARI TICKETS & TRAVEL has declared these General Terms and Conditions applicable, except insofar as the parties have explicitly deviated from these General Terms and Conditions in writing.
2. These Terms and Conditions also govern Agreements with FERRARI TICKETS & TRAVEL for which third parties must be engaged in connection with the performance.
3. Any deviations from these Terms and Conditions will be valid only if they have been explicitly agreed upon in writing.

Article 3 Quotations and Offers
1. All quotations and offers are without engagement and can be viewed at the www.ferraritickets.com website, or they will be sent to the Customer by e-mail. The offer will be dated or will be further determinable by date.
2. FERRARI TICKETS & TRAVEL will be bound by quotations and offers only if they are accepted a. by the Customer, preferably in writing, within 30 days after the date of the offer, and b. the Customer has paid FERRARI TICKETS & TRAVEL the amount of the offer within that same term. The prices indicated in an offer are inclusive of VAT, unless the offer indicates otherwise.
3. FERRARI TICKETS & TRAVEL cannot be bound by its quotations and offers if the Customer should have understood, in accordance with the principles of reasonableness and fairness and generally accepted standards, that the quotation or offer or any part of the quotation or offer was clearly erroneous or contained a clerical error.
4. If the acceptance deviates from the offer in respect of minor matters or otherwise, FERRARI TICKETS & TRAVEL will not be bound by the acceptance, in which case the Agreement will not be concluded in accordance with their divergent acceptance unless FERRARI TICKETS & TRAVEL states otherwise.
5. A compound price estimate will not lead to FERRARI TICKETS & TRAVEL being obliged to supply part of the goods included in the quotation or offer in exchange for a proportionate portion of the price indicated.
6. Quotations or offers do not automatically apply with respect to repeat orders.
7. If the quotation or offer has been obtained by means of an on-request order the ultimate price may vary depending upon availability. The Customer will be notified in this respect in advance for approval. If the Customer does not wish to accept the ultimate price the Customer will be entitled to cancel the order.

Article 4 Conclusion of the Agreement
1. The Agreement will be concluded at the time at which the Customer accepts FERRARI TICKETS & TRAVEL's offer in a timely manner.
2. If the Agreement is concluded between FERRARI TICKETS & TRAVEL and a consumer it will not be possible to cancel the consumer purchase after the consumer has confirmed his order online. The cooling-off period of seven working days in accordance with the Dutch Distance Selling Act (Wet koop op afstand) does not apply, in connection with the nature of the product. Article 7.1.9A.4 excludes dissolution of the Agreement if it comprises leisure activities and if it had been concluded for a particular day.

Article 5 Delivery
1. Unless the parties agree otherwise delivery will be made by UPS Express Service at the delivery address indicated by the Customer at the time at which the order was placed.
2. The Customer is obliged to take delivery of the goods purchased at the time at which they are available or delivered to him.
3. The Customer will pay for delivery immediately at the time at which the order is placed. The shipping costs are EUR 25.
4. If FERRARI TICKETS & TRAVEL requires information from the Customer in the context of the performance of the Agreement, the term for delivery will commence after the Customer has provided that information to FERRARI TICKETS & TRAVEL.
5. Tickets generally will not be sent earlier than approximately 7 to 10 days before the event because the tickets generally are not received by the promoter until that time. If FERRARI TICKETS & TRAVEL has indicated a term for delivery that term is indicative and under no circumstances will such a term be of the essence. However, under no circumstances will the ultimate term for delivery exceed the term indicated by more than one week unless a situation involving force majeure is involved. If a term is exceeded the Customer will be required to give FERRARI TICKETS & TRAVEL notice of default in writing.
6. If FERRARI TICKETS & TRAVEL receives the tickets from the promoter late and as a result the tickets cannot be delivered to the delivery address indicated by the Customer prior to the event, FERRARI TICKETS & TRAVEL reserves the right to organise a pickup on location so that the Customer can pick up the tickets on location. If such a situation arises the Customer will always be notified in advance in a timely manner. Neither cancellation nor reimbursement of any shipping costs will be possible in the event of an organised pickup. A Customer’s decision not to pick up his tickets will be his own responsibility. It will not be possible to cancel the order retroactively.

Article 6 Payment
1. Unless the parties have agreed otherwise payment must be made immediately at the time at which the order is placed or by bank transfer within eight days after the order is placed.
2. If payment is not made in cash it must be made within eight days after the invoice date in the manner indicated by FERRARI TICKETS & TRAVEL and in the currency denominated in the invoice.
3. Any objections in respect of the amount of the invoices will not suspend the payment obligation.
4. If the Customer has not made payment within the above-mentioned term he will be in default without any further notice of default being required.
5. As soon as the Customer is in default FERRARI TICKETS & TRAVEL will be entitled to statutory interest in addition to payment of the invoice. The statutory interest will be due as from the first day of default and will be calculated on the invoice amount.
6. If the Customer remains in default with respect to the payment of the invoice and/or the statutory interest that is due, FERRARI TICKETS & TRAVEL will refer to claim to a court bailiff for collection.
7. FERRARI TICKETS & TRAVEL will be entitled to apply payments made by the Customer first in respect of the costs, subsequently in respect of the interest due, and finally in respect of the principal amount and the current interest.

Article 7 Suspension and dissolution
1. FERRARI TICKETS & TRAVEL will be entitled to suspend compliance with its obligations or to dissolve the Agreement if:
• the Customer fails to comply with his obligations under the Agreement in whole or in part;
• after the Agreement has been concluded circumstances come to FERRARI TICKETS & TRAVEL’s attention that lead to well-founded grounds to fear that the Customer will not comply with his obligations. In the event that there are well-founded grounds to fear that the Customer will comply with his obligations only in part or that the Customer will fail to comply with his obligations properly, suspension will be permitted only insofar as that is justified by the breach; or
• the Customer has been asked to furnish security at the time at which the Agreement is concluded in respect of his compliance with his obligations under the Agreement and such security is not furnished or is insufficient. As soon as the security is furnished the power to suspend will lapse unless such fulfilment has been unreasonably delayed as a result.
2. FERRARI TICKETS & TRAVEL is also authorised to dissolve the Agreement (or to have it dissolved) if circumstances arise that are of such a nature that compliance with the Agreement has become impossible or, in accordance with the principles of reasonableness and fairness, can no longer be expected or if other circumstances arise that are of such a nature that it cannot reasonably be expected to maintain the Agreement unamended.
3. If the Agreement is dissolved FERRARI TICKETS & TRAVEL's claims against the Customer will be immediately due and payable. If FERRARI TICKETS & TRAVEL suspends compliance with its obligations it will retain its claims under the law and the Agreement.
4. FERRARI TICKETS & TRAVEL reserves the right to claim compensation at any time.

Article 8 Collection costs
1. If the Customer is in default with respect to compliance with one or more of his obligations he will owe all the reasonable costs related to obtaining payment out of court. In the event that a monetary claim is involved the Customer will owe out-of-court collection costs under all circumstances. The out-of-court collection costs will amount to at least 15% of the amount due.
2. If FERRARI TICKETS & TRAVEL demonstrates that it has incurred higher costs that were reasonably necessary, those costs will also be eligible for reimbursement by the Customer.

Article 9 Force majeure
1. The Parties will not be obliged to comply with any obligation if they are prevented from doing so as a result of a circumstance that is not their fault and that cannot be attributed to them in accordance with the law, a legal act or generally accepted standards.
2. In these General Terms and Conditions, in addition to the circumstances provided for under the law and in accordance with case law force majeure is taken to include all exterior causes, expected or unexpected, in respect of which the user can exert any influence but as a result of which the user is unable to comply with his obligations. This includes strikes at the user's company.
3. FERRARI TICKETS & TRAVEL will also be entitled to invoke force majeure if the circumstance that impedes compliance (or any further compliance) occurs after FERRARI TICKETS & TRAVEL was obliged to comply with its obligations.
4. During the period in which the force majeure continues the parties may suspend their obligations under the Agreement. If that period continues after the time at which compliance with the Agreement has become permanently impossible either party will be entitled to dissolve the Agreement without being under any obligation to compensate the other party's damage.

Article 10 Disputes
The District Court of Rotterdam, the Netherlands, will have exclusive jurisdiction to take cognisance of any disputes.

Article 11 Applicable law
1. Every Agreement between FERRARI TICKETS & TRAVEL and the Customer is governed by Dutch law.
2. The Dutch Distance Selling Act (April 2001): The cooling-off period of seven working days in accordance with the Dutch Distance Selling Act does not apply in connection with the nature of the product. Article 7.1.9A.4 excludes dissolution of the Agreement if it comprises leisure activities and if it had been concluded for a particular day.

Article 12 Amendment and location of the Terms and Conditions
1. These General Terms and Conditions have been filed at the offices of the Chamber of Commerce in Rotterdam.
2. The most recent version or the version that applied at the time at which the Agreement is concluded will apply at all times.
